10. MISCELLANEOUS
This Agreement shall be governed by and construed in accordance
with the laws of the Province of Ontario and Canada, without
giving affect to any principles of conflicts of law. You agree
that any action at law, arising out of or relating to this Agreement,
shall be adjudicated by the provincial courts of Ontario or the
Federal Court of Canada and you hereby consent and submit to
personal jurisdiction for such courts for the purpose of litigating
any action.
In the event that any of these terms are found to be unenforceable
or invalid by a court of competent jurisdiction, such invalid
or unenforceable term shall be deemed severable and shall not
affect the validity and enforceability of any other term or provision
herein. This is the entire agreement relating to the subject
matter herein.
Any notices to be given under this Agreement shall be made by
registered mail, fax, or email. Faxes and emails shall be deemed
received when actually received and notices by registered mail
shall be deemed received five (5) days after they are mailed.
No waiver or any breach of any term or condition contained herein
by either party shall be deemed to be a waiver of breaches of
any other term or condition contained herein, nor a continuing
waiver in respect of future breaches of the same of any other
term or condition contained herein.
Sections 5, 6, 7 and 8 survive any termination or expiration
